1. Definitions

The following terms are used throughout this agreement:

  • "Company", "We", "Us", "Our" — Kanya Digital, registered in Thailand, operating from 64 Thanon Maliwan, Mueang, Khon Kaen 40000.
  • "Service" — any of the AI integration services offered by Kanya Digital, including the Health Review, Observed Integration, and Watch Service.
  • "User", "You", "Your" — any individual or organisation that accesses this website, enquires about services, or engages us for work.
  • "Agreement" — these Terms and Conditions, together with any project proposal or service agreement accepted in writing.
  • "Content" — text, images, documents, and any other material provided by either party during the course of a project.

2. Acceptance of Terms

By accessing this website, submitting an enquiry, or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use this website or contact us for services.

Our services are intended for business use by organisations and individuals aged 18 or over who have the legal capacity to enter into binding agreements. By proceeding, you confirm that you meet these requirements.

3. Service Description

Kanya Digital provides technical services related to AI system integration for businesses. Our three core services are:

  • Health Review (฿4,600) — a written technical assessment of one to two business systems, presenting options for AI integration without obligation.
  • Observed Integration (฿10,300) — a complete build of an AI integration with monitoring, testing, and handover, delivered over approximately five weeks.
  • Watch Service (฿16,900/month) — ongoing monitoring, maintenance, and reporting for live integrations, with a named engineer assigned to your account.

Service availability is subject to our current capacity. We will communicate availability clearly before any project begins.

All service descriptions, timelines, and outcomes are provided in good faith based on available information at the time of assessment. Actual results depend on factors including your existing systems, third-party platforms, and technical environment.

4. User Responsibilities

Acceptable use

You agree to use this website and our services lawfully and in good faith. You must not:

  • Provide false or misleading information when requesting services
  • Attempt to gain unauthorised access to our systems or data
  • Use our services for any purpose that violates applicable Thai law or regulations
  • Interfere with or disrupt our website's operation
  • Reproduce, distribute, or modify our content without written permission

Your cooperation

Successful delivery of our services depends on timely access to relevant systems, documentation, and personnel on your side. Delays caused by limited access or communication may affect project timelines. We will work with you calmly to resolve these situations.

5. Intellectual Property

All materials on this website — including text, visual design, code, and service documentation — remain the intellectual property of Kanya Digital unless otherwise agreed in writing.

Upon full payment for an Observed Integration project, ownership of the specific integration deliverables is transferred to the client. Our underlying frameworks, libraries, and methodologies remain our property.

You grant us a limited licence to access and review your systems solely for the purpose of delivering the agreed service. We do not retain rights to your data or systems after project completion.

6. Payment Terms

  • All prices are stated in Thai Baht (฿) and are subject to applicable taxes
  • Payment terms are agreed in writing before work begins
  • For project-based services, a deposit may be required before commencement
  • Watch Service fees are billed monthly in advance
  • Invoices are payable within 14 calendar days of issue
  • Late payment may result in a pause in service delivery until the account is settled

Refund policy

Health Review assessments are non-refundable once the written report has been delivered. For Observed Integration projects, any unused portion of a deposit may be refunded at our discretion if work has not yet commenced. Watch Service subscriptions may be cancelled with 30 days' written notice.

7. Service-Specific Terms

Health Review

The Health Review is an advisory document only. It does not constitute a commitment to any particular course of action. The recommendations presented are based on information available at the time of the assessment and may change as your systems evolve.

Observed Integration

Scope of work is agreed in writing before the project begins. Changes to scope may affect the timeline or price, and will be discussed openly before any adjustment is made. Handover documentation is provided at project completion.

Watch Service

The Watch Service covers monitoring and maintenance of integrations we have built or formally onboarded. Coverage for legacy or third-party integrations requires separate agreement. Monthly reports are delivered within the first five working days of each calendar month.

8. Disclaimers

Our services are provided in good faith based on reasonable professional judgement. We do not make any commitment to specific business outcomes, revenue changes, or performance improvements resulting from AI integrations.

This website and its content are provided "as is". We make reasonable efforts to keep information accurate but do not warrant that all content is error-free or current at all times.

We are not qualified to provide legal, financial, or medical advice. Nothing on this website should be interpreted as such.

9. Limitation of Liability

To the extent permitted by Thai law, Kanya Digital's total liability to you for any claim arising from our services shall not exceed the total fees paid by you for the specific service giving rise to the claim.

We are not liable for indirect, consequential, or incidental losses, including but not limited to lost revenue, data loss, or business disruption, except where such liability cannot be excluded by law.

Nothing in this agreement limits liability for death, personal injury, or fraud caused by our negligence.

10. Termination

Either party may end a service engagement by providing written notice. For ongoing services such as the Watch Service, 30 days' notice is required. For project-based services, early termination terms will be outlined in the individual project agreement.

We reserve the right to suspend or end services if there is a material breach of these terms that is not resolved within 14 days of written notice.

Sections relating to intellectual property, payment of outstanding fees, disclaimers, and limitation of liability survive termination of any agreement.

11. Dispute Resolution

These Terms and Conditions are governed by the laws of Thailand. Any disputes will be subject to the jurisdiction of the courts of Khon Kaen Province, unless both parties agree in writing to an alternative arrangement.

12. General Provisions

  • Entire agreement — these Terms, together with any signed project agreement, constitute the full agreement between us.
  • Severability — if any provision is found unenforceable, the remainder of these Terms continues in full effect.
  • Waiver — a failure to enforce any provision does not constitute a waiver of the right to enforce it in future.
  • Assignment — you may not assign your rights under these Terms without our prior written consent.
  • Notices — formal notices should be sent by email to the address listed in Section 14 and are deemed received on the next working day.

13. Changes to Terms

We may update these Terms from time to time. The revised version will be posted on this page with an updated effective date. Continued use of our website or services after an update constitutes acceptance of the new terms. For active clients, we will send notice of material changes by email at least 14 days before they take effect.
